FilexFlow Terms of Service
These Terms of Service (“Terms”) govern your access to and use of FilexFlow, including all file conversion services, websites, APIs, and related features (collectively, the “Service”).
1. Agreement to Terms
By creating an account, purchasing credits, using any conversion feature, or clicking a button or checkbox indicating acceptance, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
You may not use the Service if you do not agree to these Terms.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
You must provide accurate and complete information during registration and keep it up to date, including contact and billing details.
3. Service Description
FilexFlow provides on-demand file conversion services and related tools. You upload a file, we process it through our conversion engine, and we make the converted output available for download for a short time.
The Service is designed to be minimal, fast, and low-cost. It is not a data storage or archiving service. Files and converted outputs are automatically deleted after processing and delivery windows expire.
4. Credits, Pricing, and Payments
- Credit-based usage. The Service may be priced per conversion, per credit, or via subscription plans. The applicable pricing, billing model, and credit usage rules are described on the pricing page and/or your account dashboard.
- Payment processor. Payments are processed by one or more third-party payment processors. By submitting a payment method, you authorize us and our payment providers to charge all applicable fees, taxes, and currency conversion amounts.
- No refunds. All payments are final and non-refundable , including unused or partially used credits, except where required by applicable law. A conversion is considered delivered once our systems have made the output file available for download, even if you fail to download or use it.
- Chargebacks. If you initiate a chargeback or payment dispute, we may suspend or terminate your access to the Service and may dispute the chargeback with supporting evidence, including logs proving your use of the Service and acceptance of these Terms.
- Taxes. Fees are exclusive of any applicable taxes, duties, or similar governmental assessments. You are responsible for paying such amounts, excluding taxes based on our net income.
5. Consent, Notices, and Record of Acceptance
When you create an account, purchase credits, or subscribe to a plan, we may present a checkbox or similar control with text such as: I have read and accept the Terms of Service, Privacy Policy, and Legal Notice. By checking that control and completing the purchase or registration, you provide your electronic consent to these Terms and all referenced documents.
To demonstrate compliance, we may log and retain a record of your acceptance, including the date and time, IP address, user identifier, and the version of the Terms and policies that were in effect at the time of acceptance.
6. Your Files and Content
- Ownership. You retain all rights, title, and interest in and to the files and content you upload to the Service (“Customer Content”). We do not claim ownership of Customer Content.
- Limited license to operate the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Content solely for the purpose of providing the Service and improving reliability, security, and performance.
- No long-term storage. The Service is not a backup or archive service. Customer Content and converted outputs may be deleted automatically shortly after conversion completes. You are solely responsible for downloading and backing up your data.
- Prohibited content. You may not upload any content that is illegal, infringing, harmful, or otherwise violates these Terms, including content that infringes third-party intellectual property rights, contains malware, or violates privacy or export control laws.
7. Acceptable Use
You agree not to, and not to allow third parties to:
- Use the Service for any unlawful, harmful, fraudulent, or abusive purpose.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Circumvent or attempt to circumvent usage limits, security controls, or payment requirements.
- Attempt to gain unauthorized access to any systems, networks, or data.
- Use the Service to transmit malware, spam, or other harmful code.
- Misrepresent your identity or affiliation with any person or entity.
8. Intellectual Property
FilexFlow, including all software, user interfaces, designs, graphics, logos, and documentation, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.
Except for the limited rights expressly granted in these Terms, no rights or licenses are granted to you, whether by implication, estoppel, or otherwise. Any unauthorized use of our intellectual property is strictly prohibited.
9. Privacy and Data Protection
Our Privacy Policy describes how we collect, use, and protect personal data. By using the Service, you acknowledge that your information will be processed as described in the Privacy Policy.
Consistent with our product strategy, we do not use Customer Content or user files to train models unrelated to the Service and do not sell personal data.
10. Third-Party Services
The Service may integrate with or rely on third-party services (such as hosting providers, payment processors, analytics tools, or AI models). We do not control and are not responsible for third-party services, and your use of them may be subject to separate terms and privacy policies.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that conversions will always meet your specific requirements or expectations.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FILEXFLOW OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO FILEXFLOW FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
13. Indemnification
You agree to indemnify, defend, and hold harmless FilexFlow and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your Customer Content, or your violation of these Terms or applicable law.
14. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, pose a security or legal risk, or if we discontinue the Service. You may stop using the Service at any time.
Upon termination, your right to use the Service will cease immediately, but any provisions that by their nature should survive will remain in effect, including ownership provisions, warranty disclaimers, limitation of liability, and indemnity.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.
16. Changes to the Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice (such as by email or a notice in the dashboard). Your continued use of the Service after the updated Terms become effective constitutes your acceptance.
